Virtual DPO

Privacy leadership that can withstand scrutiny

Senior privacy governance and Data Protection Officer oversight for regulated and scaling organisations that need accountable GDPR governance without building a full internal privacy office. An independent function with direct access to senior management, practical governance rather than paper, and an evidence layer that holds up when a supervisory authority asks.

Triggers

When to engage a NOETIX vDPO

Not every organisation needs a DPO. These are the situations where a mandate usually earns its place.

  1. Your organisation is required to appoint a DPO, or has assessed that appointing one is appropriate.
  2. Privacy ownership is fragmented between legal, IT, security, compliance and operations.
  3. You need an independent data protection function with direct access to senior management.
  4. Scaling or multi jurisdiction processing has outgrown informal privacy governance.
  5. DPIAs, ROPA, processor governance, data subject requests or accountability evidence are inconsistent.
  6. An existing DPO needs retained specialist support and second line capacity.
  7. Interim coverage is required during recruitment or a leadership transition.
The statutory role

What the DPO role actually requires

The tasks and safeguards below follow the principles set out in Articles 37 to 39 of the GDPR. We design the mandate around them rather than around a service catalogue.

01

Appointment is a determination, not a default

Whether a DPO is required depends on how the GDPR applies to your processing and your organisational context. We help you reach and document that determination rather than assume it.

02

Inform, advise and monitor

The DPO informs and advises the organisation and its staff on data protection obligations, monitors compliance with the GDPR and internal privacy policies, and provides advice on data protection impact assessments.

03

Contact point for the supervisory authority

The DPO cooperates with the supervisory authority and acts as the contact point on processing matters, including prior consultation where that applies.

04

Risk based attention

The DPO has due regard to the risk associated with processing operations, taking account of their nature, scope, context and purposes.

05

Involvement, resources and reporting line

The DPO is involved properly and in a timely manner in all matters relating to personal data, is given the resources and access needed, and reports to the highest level of management.

06

Independence and no conflict of interest

The DPO does not receive instructions on how to perform DPO tasks and must not hold a role that determines the purposes and means of processing. We document the independence and conflict position at the outset.

One point is worth stating plainly. Your organisation remains the controller and remains accountable for GDPR compliance. Appointing an external DPO gives you the function and the independence it needs. It does not transfer accountability, and it is not a substitute for legal advice.

The mandate

What the vDPO covers

Scope is agreed in writing at the outset and reviewed as processing changes. The vDPO advises, monitors and governs. It does not replace your legal advisers or the business owners who run the processing.

  • Privacy governance framework and annual privacy plan
  • GDPR accountability structure and policy oversight
  • ROPA governance and record ownership
  • DPIA methodology, advice and review
  • Data subject rights governance
  • Processor, subprocessor and third party privacy governance
  • Personal data breach governance and regulatory coordination support
  • Privacy by design, change and project review
  • Training and awareness oversight
  • Management and board reporting
  • Supervisory authority contact and cooperation where the mandate provides for it
  • International transfer and retention governance as appropriate
Operating model

How the engagement runs

A boutique model, deliberately. Senior privacy judgement stays with the person you meet, with dedicated support behind it and clear boundaries around legal advice.

01

A named senior vDPO

One accountable privacy practitioner, and the formally designated DPO contact where NOETIX is appointed under an agreed mandate.

02

Direct line to the top

Reporting and access to the highest level of management, as the DPO function requires, with a defined escalation route.

03

Documented independence

Independence and conflict of interest are assessed and recorded before the mandate begins, and reviewed if the scope of our other work changes.

04

Works with the business

Practical collaboration with Legal, Security, Compliance, HR, Product and Operations, without absorbing their decisions or their accountability.

05

Dedicated support capacity

A small dedicated capacity supports evidence, ROPA maintenance, DPIA administration and programme tracking behind the named lead.

06

Legal counsel stays separate

Where formal legal advice, privilege or representation is required, your own or an introduced specialist legal counsel is engaged separately.

Engagement models

Ways to engage

Commercial structure follows the mandate, and the mandate follows the independence position.

01

Outsourced or virtual DPO

NOETIX is formally appointed as your DPO under an agreed mandate, where that appointment is appropriate for your organisation, with scope, cadence, resources and independence set out in writing.

02

Retained privacy advisory

Ongoing specialist support to an internal DPO or privacy lead, without NOETIX taking the statutory appointment. Independent challenge, methodology support and executive material.

03

Interim DPO

Time bound coverage during recruitment, transition or absence, with a documented handover to the permanent appointment.

04

Privacy transformation or GDPR remediation

A defined programme to establish or repair privacy governance. Where this implementation work could compromise the independence of the DPO role, the two are scoped and staffed separately.

Conflict safeguard. If NOETIX carries out implementation or operational work that could compromise the independence of the DPO function, or that would put us in the position of reviewing our own work, the roles are separated, differently staffed or declined. That position is recorded in the engagement terms.

Deliverables and cadence

What accountability looks like

The set below is illustrative. Which outputs apply, and at what rhythm, is tailored to the mandate and the risk profile of your processing rather than bundled into every engagement.

  1. Privacy governance baseline and gap view
  2. Annual privacy plan and monitoring schedule
  3. ROPA governance with named record owners
  4. DPIA register, methodology and reviews
  5. Processor and subprocessor governance
  6. Data subject request and breach procedure oversight
  7. Privacy risk and action register
  8. Management dashboard and board reporting
  9. Training and awareness plan
  10. Coordination of regulatory correspondence where the mandate provides for it
Privacy, cyber and GRC

Coordinated, but not merged

Security and privacy share evidence, risk language and much of the same control environment. Running them through one coordinated governance model removes duplicated effort and gives the board a single, coherent risk picture.

They are not the same function. A CISO does not automatically make a suitable DPO. Where the security role determines the purposes and means of processing, or where it would put the same person in charge of both delivery and independent monitoring, that creates a conflict of interest that has to be assessed rather than assumed away.

Our approach is to coordinate cyber, privacy and wider GRC governance while keeping accountabilities distinct and documented, so each function can challenge the other.

Frameworks and regulation

Familiar territory

NOETIX works with and supports these frameworks and expectations. We are not a supervisory authority, certification body or accredited auditor, and nothing here implies regulatory endorsement.

NoetixGRC behind the mandate

Our own platform can carry the accountability record, so evidence is maintained continuously rather than assembled under pressure. It is an optional accelerator. It does not replace the professional judgement of the DPO or the advice of legal counsel.

  • Records of processing maintained by named owners
  • Privacy obligations tracked against evidence
  • DPIA and privacy risk records with treatment status
  • Processor and third party registers
  • Action tracking with owners and due dates
  • Management and board reporting drawn from live records
Scope of advice

Privacy governance, not legal representation

NOETIX provides privacy governance, DPO and advisory services. We are not a law firm and we do not act as your external legal counsel. Where specialist legal interpretation, privilege or representation before courts or supervisory authorities is required, independent legal counsel should be engaged, and we work alongside them.
